7. Prototyping and engineering services
- For prototyping and hardware/software engineering services, the scope of work, deliverables, timeline, and fees will be defined in a separate proposal, statement of work, or order form (collectively, “Project Agreement”). In case of conflict between these Terms and a Project Agreement, the Project Agreement prevails for that project.
- Engineering and prototyping work is typically provided on a best‑efforts basis and may involve iterative development, testing, and refinement. Performance metrics and specifications are only guaranteed where expressly stated as such in writing.
- You are responsible for reviewing deliverables (including prototypes, test results, and software builds) and providing timely feedback and approvals. Delays in feedback may affect schedules and costs.
8. Intellectual property
- Unless expressly stated otherwise in a Project Agreement, we retain all intellectual property rights in and to our existing technology, designs, firmware, software libraries, documentation, and tools, as well as any general know‑how and improvements developed while providing the Services.
- For custom projects, any allocation of IP rights (for example, ownership of specific designs, prototypes, or source code) shall be governed by the applicable Project Agreement.
