Terms and Conditions

1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of the website operated by Anser Enterprise (“we”, “us”, or “our”), our online store for robotics products, and our prototyping and hardware/software engineering services (collectively, the “Services”). By accessing or using our website or purchasing any products or services from us, you agree to be bound by these Terms. If you do not agree, you must not use our website or Services.

2. Eligibility and accounts

  • You must be at least 18 years old (or the age of legal majority in your jurisdiction) and have the legal capacity to enter into a binding contract to use our Services.
  • When you create an account, you agree to provide accurate, current, and complete information and to keep it updated.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us promptly of any unauthorized use.

3. Orders and contracting

  • Your order for robotics products or services is an offer to purchase. We may accept or reject any order at our discretion, including in cases of stock issues, errors in pricing or product information, or suspected fraud.
  • A contract is formed only when we send an order confirmation via email or otherwise confirm acceptance of your order.
  • We reserve the right to limit or cancel quantities purchased per person, per company, or per order, particularly for specialized robotics equipment and prototyping services.

4. Pricing, taxes, and payment

  • All prices are listed in USA Dollars and are subject to change without notice, except where a price is confirmed in an accepted order.
  • Prices generally exclude applicable taxes, duties, and shipping charges, which will be added at checkout or quoted separately for custom projects.
  • Payment is due at the time of order unless otherwise agreed in writing (for example, milestone billing for engineering projects).
  • You authorize us and our payment processors to charge your chosen payment method for the total amount of your order, including applicable taxes, fees, and shipping.

5. Shipping, delivery, and risk of loss

  • We will arrange shipping to the address you provide. Delivery dates are estimates only and are not guaranteed unless expressly stated in writing.
  • Risk of loss and title for robotics products transfer to you upon delivery to the carrier, unless mandatory law provides otherwise or our contract specifies different terms.
  • You are responsible for complying with all import/export laws and regulations that may apply to robotics hardware, components, software, or technical data supplied under these Terms.

6. Use of robotics products and safety

  • Our robotics products are intended for research, industrial, educational, or hobby use. It is your responsibility to ensure that products are used only in appropriate environments and applications.
  • You are responsible for implementing proper safety measures, including training, guards, emergency stops, and compliance with applicable safety standards and regulations in your jurisdiction.
  • You must not use the products in any application where failure could reasonably be expected to result in death, personal injury, or severe environmental damage unless such use is explicitly permitted in the applicable documentation and covered by a separate written agreement.
  • We are not responsible for damage, injury, or loss resulting from improper installation, configuration, use, or maintenance of the products.

7. Prototyping and engineering services

  • For prototyping and hardware/software engineering services, the scope of work, deliverables, timeline, and fees will be defined in a separate proposal, statement of work, or order form (collectively, “Project Agreement”). In case of conflict between these Terms and a Project Agreement, the Project Agreement prevails for that project.
  • Engineering and prototyping work is typically provided on a best‑efforts basis and may involve iterative development, testing, and refinement. Performance metrics and specifications are only guaranteed where expressly stated as such in writing.
  • You are responsible for reviewing deliverables (including prototypes, test results, and software builds) and providing timely feedback and approvals. Delays in feedback may affect schedules and costs.

8. Intellectual property

  • Unless expressly stated otherwise in a Project Agreement, we retain all intellectual property rights in and to our existing technology, designs, firmware, software libraries, documentation, and tools, as well as any general know‑how and improvements developed while providing the Services.
  • For custom projects, any allocation of IP rights (for example, ownership of specific designs, prototypes, or source code) shall be governed by the applicable Project Agreement.
  • You agree not to reverse engineer, decompile, or disassemble our products or software except to the extent such restriction is prohibited by applicable law.
  • You grant us a limited, non‑exclusive, royalty‑free license to use any feedback, suggestions, or ideas you provide about our products and Services to improve them, without obligation to you.

9. Software licenses and updates

  • Any software provided with or embedded in our robotics products (including firmware, drivers, and control software), or delivered as part of our engineering services, is licensed, not sold, and may be subject to additional license terms presented at installation or in the documentation.
  • Unless otherwise stated, we grant you a non‑exclusive, non‑transferable, limited license to use such software solely in connection with the products or services for which it was provided.
  • We may provide updates, patches, or upgrades at our discretion. Some updates may be required for safety, security, or functionality; you are responsible for installing them in a timely manner where applicable.

10. Acceptable use

You agree not to:

  • Use the website or Services for any unlawful purpose or in violation of any applicable laws or regulations.
  • Use robotics products or engineering outputs in ways that infringe third‑party rights, including intellectual property, privacy, or safety regulations.
  • Introduce malicious code, interfere with the operation of the website or our systems, or attempt unauthorized access to accounts or data.
  • Misrepresent your identity, affiliation, or authorization in your dealings with us.

11. Warranties and disclaimers

  • Robotics products may be subject to a limited hardware warranty as described in the documentation or specific warranty statement provided with the product. Any such warranty is conditioned on proper installation, use, and maintenance, and does not cover misuse, modification, or external causes (such as accidents, power issues, or environmental conditions outside the specified range).
  • Unless expressly stated in writing, the website, products, and Services are provided on an “as is” and “as available” basis, without any guarantees that they will be error‑free or uninterrupted.
  • To the fullest extent permitted by law, we disclaim all other warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non‑infringement.

12. Limitation of liability

  • To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, data, or use, arising out of or in connection with your use of the website, products, or Services, even if we have been advised of the possibility of such damages.
  • Our total aggregate liability for all claims arising out of or relating to these Terms, the website, products, and Services shall not exceed the amount you paid to us for the product or service giving rise to the claim during the twelve (12) months preceding the event.
  • Some jurisdictions do not allow limitations of liability for certain types of damages; in such cases, the above limitations apply only to the extent permitted by applicable law.

13. Indemnity

You agree to indemnify, defend, and hold harmless Anser Enterprise, its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your violation of these Terms or any applicable law or regulation.
  • Your misuse of robotics products or use in unsafe or unauthorized applications.

Our website may contain links to third‑party websites, services, or resources that are not owned or controlled by us. We are not responsible for the content, policies, or practices of any third‑party sites or services and you access them at your own risk.

15. Privacy

Our collection and use of personal information in connection with the website and Services is described in our Privacy Policy, which forms part of these Terms. By using the website or Services, you consent to our use of your information as set out in the Privacy Policy.

16. Export control and sanctions

Robotics hardware, software, and technical data may be subject to export control and sanctions laws. You agree to comply with all such laws and not to export, re‑export, or transfer products or technical information to any country, entity, or person prohibited under applicable regulations.

17. Changes to the website and services

We may modify, suspend, or discontinue the website or any part of the Services at any time, with or without notice, including for maintenance, updates, or business reasons. We will not be liable for any modification, suspension, or discontinuation, subject to fulfilling our obligations regarding accepted orders or existing Project Agreements.

18. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date at the top of this page indicates when they were last revised. Your continued use of the website or Services after the revised Terms are posted constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the website and Services.

19. Governing law and dispute resolution

  • These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of Nevada/Washoe County/USA, without regard to its conflict‑of‑law rules.
  • Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Reno, Nevada, unless applicable law provides you with mandatory rights to bring claims in other courts.

20. Severability and waiver

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision under these Terms will not constitute a waiver of such right or provision.

21. Entire agreement

These Terms, together with any Project Agreement, order confirmation, and our Privacy Policy, constitute the entire agreement between you and Anser Enterprise regarding your use of the website, products, and Services, and supersede all prior or contemporaneous understandings, whether written or oral.
